We’re looking for a tech-savvy Corporate Counsel to join our team, who has a proven track record of managing legal needs for a B2B SaaS company, including licensing, contract management, stock administration, governance, employment matters, and vendor negotiation.
The Position
Our in-house Corporate Counsel is a pivotal role, playing a central part in supporting HappyCo’s strategic initiatives and ensuring legal and compliance excellence. The Corporate Counsel will lead all aspects of HappyCo’s legal and compliance matters including licensing, general commercial and IP issues, insurance, data privacy and cybersecurity, risk management, contract management, employment, corporate governance, advisory and reporting.
The Corporate Counsel reports to the COO, working closely with our CFO, VP Sales, and VP People on a broad array of compliance, commercial, and employment concerns. The role sits on our broader leadership team and attends Board meetings quarterly, advising on stock administration and material risks. They should have an extensive network of outside legal experts to consult with when necessary. This is an individual contributor role with no direct reports.
This role is a 100% US-Remote role; however, in order to effectively collaborate with team members effectively candidates located within the US Pacific or Mountain time zones are preferred.
Week by Week
During your first 2-4 weeks you will:
- Get to know our leadership, culture, and values
- Complete our HappyCo orientation and onboarding program
- Onboard with the Operations Division at HappyCo
- Familiarize yourself with our systems and tools
- Read our favorite industry primers
- Attend your first Company Wide Meeting (monthly) and Divisional Meeting (weekly)
During your first 1-6 months you will:
- Get acquainted with the different departments and attend your first Board meeting
- Audit current legal compliance and processes, and produce and distribute a 2024 Legal & Compliance Strategy at the end of your first 90 days
- Maintain legal SLAs and execute them against all contract requests
- Work closely with Sales and Finance departments on a broad range of legal agreements (MSAs, licensing agreements, NDAs, privacy matters, and supplemental agreements, and insurance policies) in support of new sales, upsells, renewals, partnerships, and risk management
- Draft, review, and negotiate a variety of technology agreements and documents; continuously seeks ways to improve the forms, processes, and systems involved
- Conduct thorough legal due diligence on target companies as the need arises, assessing potential legal risks and liabilities associated with acquisitions
- Assist in negotiating strategic transactions, including mergers and acquisitions (M&A)
- Handle corporate governance matters, including Board materials, minutes and consents, and Stockholder communications
- Manage the administration of stockholder matters with Carta
- Conduct legal risk assessments, including risk identification, quantification, and mitigation strategies, and maintain a risk register to present at the quarterly board meeting
During your first 6-12 months you will:
- Prepare and deliver training and presentations to employees, management and the Board of Directors on various legal and compliance matters, reporting regularly to the Executive team and Board of Directors
- Participate in the definition and development of corporate policies, procedures, and programs and provide continuous counsel and guidance on legal matters, seeking support from outside counsel as necessary
- Assist Finance team with external audits, including compliance with financial reporting regulations
- Oversee insurance matters, including policy review, procurement, claims management, and risk assessment
What you could expect day-to-day
- Stay current on legislation, laws and legal trends potentially affecting the company, employees or business
- Assist with any litigation, working with outside counsel as necessary
- Ensure HappyCo has the proper privacy and data security policies and protocols in place (e.g. SOC2, GDPR, CCPA, etc.)
- Work closely with Finance, People, and Sales departments on various day-to-day legal matters, including but not limited to employment matters, stock plan administration, and review of commercial orders, sales agreements, and MSA redlines
- Ensure HappyCo complies with national and international legal and regulatory frameworks, including regulatory compliance in M&A and insurance activities
- Ensure necessary ownership and protection is in place for copyrights, trademarks, patents, and trade secrets surrounding HappyCo products
- Review and advise on third-party data and vendor contracts
What we think you need to be successful
- JD from an accredited law school and admitted to a US State bar
- A minimum of 10+ years of experience practicing law with a combination of law firm and/or in-house experience
- Experience managing the legal function at a fast-growing B2B SaaS company including expertise in commercial/IP due diligence, technology transactions, licensing and open source, privacy law matters, and handling of third-party IP-related demands
- Some experience in mergers and acquisitions, including due diligence, negotiations, deal structuring, and integration planning
- Meticulous attention to detail: an ability to catch and correct any and all contract terms
- Collaborative team player with no ego and an outstanding ability to partner with stakeholders at all levels, internally and externally
- The ability and desire to roll up one’s sleeves and do the work as well as handle the big picture strategic matters is a must
- Must thrive in a fast-paced culture and have experience establishing legal systems and processes in a high-growth company
- Ability to juggle multiple priorities and meet time-pressured deadlines in an extremely dynamic environment
- Track record of creative problem-solving, excellent written and oral communication skills, and creation of strong and trusted cross-functional relationships
- Proactive personality and strong eagerness to learn about the business, the industry, and new areas of the law and applicable regulations
- Preferred experience taking a company through an IPO
